1) Agreement & Acceptance

By accessing the Website, purchasing a membership, or using any rides or related services (collectively, the “Services”), you agree to these Terms of Service and our Privacy Policy at . If you do not agree, do not use the Services.

2) Eligibility

The Services are intended for adults 18+. You must be a student or authorized member, reside in the United States, and not use the Services for any competing purpose. By using the Services, you represent you meet these requirements.

3) Services Overview (Members-Only)

Dorm Ryde is a members-only ride program that provides pre-scheduled and on-demand transportation within a defined local coverage area (the “Coverage Zone”). We are not an emergency service and not a common carrier.

Coverage Zone: Up to ~6 miles around campus + downtown (see member portal for current map/hours).

Availability: Rides depend on driver availability, traffic, weather, safety, and operational factors. ETAs are estimates.

Prohibited trips: Illegal activity, hazardous materials, child seats we cannot provide, or destinations outside policy.

4) Accounts & Security

You may need an account to use portions of the Services. Keep your login secure; you’re responsible for all activity on your account. Notify us immediately of unauthorized use. We may suspend or terminate accounts for violations.

5) Memberships, Billing & Auto-Renewal

Plans: Plans include a monthly ride allotment (e.g., 30 or 40 rides) with per-ride limits (typically up to 6 miles). Unused rides do not roll over.

Billing: Processed by a third-party (e.g., Stripe). By purchasing you authorize recurring charges until you cancel.

Auto-Renewal: Renews each month on your billing date unless you cancel before renewal.

Upgrades/Downgrades: Upgrades may apply immediately; downgrades apply next cycle.

Cancellations/Refunds: Membership fees are non-refundable for the current billing period after renewal, except where required by law. Cancel future renewals any time before the renewal date. See our Membership & Billing Policy (if separate) for details.

6) Ride Requests, Cancellations & No-Shows

How to request: Members may request rides by SMS or through the member portal. Provide accurate pickup/drop-off, time, and passenger count.

Arrival window: Be at pickup within the indicated window.

Cancellations: Cancel before dispatch to avoid penalties. Late cancellations or no-shows may count as a used ride and/or incur a reasonable fee per policy.

Conduct: No harassment, abuse, open containers, unsafe behavior, or violations of law. Drivers may refuse/terminate rides for safety.

7) Safety; No Common Carrier

We vet drivers and emphasize safety, but we cannot eliminate all risk. You ride at your own risk and must follow driver instructions related to safety. We are not a common carrier and do not guarantee uninterrupted or error-free service.

8) Text Messaging (TCPA/CTIA Compliance)

By providing your phone number, you consent to receive recurring SMS about rides, account updates, and permitted promotions from Dorm Ryde at the number you provided.

Opt-out: Reply STOP to unsubscribe.

Rates: Message & data rates may apply; message frequency varies.

Carriers: Carriers are not liable for delayed or undelivered messages.

9) Payments & Taxes

Prices, fees, and taxes are shown at checkout and may change with notice. All payments are processed by third-party processors; we do not store full card numbers. If a payment fails, we may suspend or cancel Services.

10) Acceptable Use

You agree not to:

Violate laws, third-party rights, or these Terms;

Impersonate others, harass users/drivers, or endanger riders;

Interfere with the Services (spam, scraping, reverse engineering, security bypass);

Upload viruses or harmful code;

Attempt to use the Services outside the Coverage Zone or in prohibited ways.

11) Intellectual Property

All content, software, logos, and trademarks on the Services are owned by the Company or its licensors. You receive a limited, revocable, non-transferable license to access and use the Services for personal, non-commercial use as permitted by these Terms. You may not copy, modify, distribute, or create derivative works without permission.

12) User Content & Feedback

If you post or submit content (messages, reviews, feedback), you grant us a worldwide, royalty-free, perpetual license to use, display, reproduce, and create derivative works for operating and improving the Services. Do not submit content you don’t have rights to. We may remove content that violates these Terms.

13) Third-Party Services

We may use third-party services (e.g., Stripe, SMS providers, WebSynq. Their terms and privacy policies apply to your use of those services.

14) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant availability, punctuality, accuracy of ETAs, or uninterrupted service.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Dorm Ryde AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

(Some states do not allow certain limitations; in those states, liability is limited to the maximum extent permitted.)

16) Indemnification

You agree to defend, indemnify, and hold harmless Dorm Ryde and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including attorneys’ fees) arising from your misuse of the Services or violation of these Terms.

17) Copyright (DMCA)

18) Termination & Suspension

We may suspend or terminate your account or access to the Services at any time for any reason, including violations of these Terms. You may cancel your membership per Section 5. Provisions that by nature should survive termination (e.g., IP, payments due, disclaimers, liability limits) will survive.

19) Changes to the Services/Terms

We may modify the Services or these Terms at any time. We’ll update the Effective Date and, where material, provide reasonable notice. Your continued use constitutes acceptance.

20) Governing Law; Disputes

These Terms are governed by the laws of Arkansas without regard to conflicts principles. Exclusive venue lies in the state or federal courts in Fayetteville, Arkansas
Optional Arbitration (if you want it): Any dispute may, at our election, be resolved by binding arbitration under AAA rules in Arkansas on an individual basis (no class actions). BY USING THE SERVICES YOU WAIVE JURY TRIAL AND CLASS ACTION RIGHTS TO THE EXTENT PERMITTED BY LAW.

21) Miscellaneous

These Terms are the entire agreement. If any provision is unenforceable, the remainder remains in effect. No waiver is a continuing waiver. You may not assign these Terms without our consent; we may assign them. Section headings are for convenience only.
